I am president of an HOA. Our former secretary has moved away. There are two other officers but neither will step forward to take minutes. Corporation Counsel has advised that under the state Not for profit law minutes must be taken. Our next meeting will be a discussion only but no real business can be conducted. We tried to secure an independent party for a fee to take minutes and were not successful probably because of minimal notice. It was suggested the meeting be tape recorded but then that leaves the transcriber struggling to figure out who was speaking. I am horrified that neither will step forward and that we may have to pay for this service.

Our secretary was on vacation for our last meeting and I(the president) took the minutes. Have you asked a member to volunteer?

We were in the same situation several years ago. We had a association member volunteer (actually asked by the BOD)to act as the "recording secretary". That lasted for several years. She then ran for the BOD and won. She then continued as secretary. If you can't obtain a recording secretary in short notice, inform the other directors that the three of you will rotate taking the minutes until you can secure a recording secretary.

My assn pay a professional recorder to take the minutes. By having a professional perform the job the minutes are always properly recorded. Until such time as a professional can be hired, the sec or another board member will just have to step forward to do the job.
