hi,i have told all board members i choose not to be on the board ,we called the annual meeting we got new normines is there anything we the old board members got to do .

it might just be terminology, but the new nominees must be elected to the offices by the owners in a legal meeting.

Then, once they are elected, the "old" board retires/is gone, and hands over the reins to the new board. paperwork, signature authority, keys, accounts, documents, etc. all get handed over.

then, the "new" board elects a president, VP, treasurer, and any other positions required by the by-laws, and proceeds to do business.

The best thing to do is not let them walk into this with no preparation, or history. Every outgoing board member should have (or if not, should prepare) a board book (3-ring binder), for each incoming officer and board member. This should contain:

1) A calendar with critical dates, such as corporation reporting, tax filing, annual meeting,

2) Past minutes

3) past and latest financial statement(s)

4) current contracts

5) Insurance information

6) Any unresolved items

7) current correspondence

8) All CC&R's, Rules

9) Any forms or standard letters used

10) List of contacts developed during your term

11) Emergency information

Some words of encouragement and something to make them smile, and look forward to their term in office. Don't scare them off immediately.
