The board of our POA had a annual meeting and at first did not have the rquisite number of attendees for a quorum. The meeting was adjourned and then started immediately thereafter to invoke a 50% reduction in the quorum requirements. I can find no mention of this "tactic" in the deeds and covenents. Is this action legal?

I’m new to all the dos and don’ts of an HOA/POA. I had a similar situation earlier this year for our HOA elections, we too didn’t meet quorum, which meant we couldn't vote anyone into office, even the people who wanted to be on the board (me). I don’t know if you can change them or how long you would have to wait to do so.
I personally feel if they aren’t there then their vote shouldn’t count at all. PERIOD!
If you have the time to read some previously written posts. I posted one back some time ago ā€œshould your vote countā€ I receive some very good advice. I have learned a lot from this discussion board. The people that do post are very knowledgeable. I think you will receive all the advice you seek, on this situation with this post.

In order to make these changes I don’t know if you need to meet quorum. I don’t know if you would need 2/3 of the members approval before you can take action or not. I’ll be following along, as well.

Keep us posted. I’m sure you will get the advice you are seeking on this particular situation.

Coral, I don't think this action was proper. The proceedures are usually defined in the By-laws. It would normally require another notice of meeting to all members and may specify a lower percentage requirement to achieve a quorum.

Apparently your By-laws specify cutting the quorum requirement in half which I like. But I would not want By-laws which allow this meeting without notice to all members.

We had this happen to us this spring. We went ahead and had a discussion, but no changes happened, and no voting took place. Some one asked if we could change the nimber needed. We could, but to do so would require a quorum first.
