We have a board member (Director) that has resigned (via e-mail) because of extreme differences from other board members. She wants back on the board and I want her to be back on the board. what can I do if I can not convince the other 3 board members to let her back on. We are in California.

The procedure to fill the vacancy should be in your documents. If it states that the remaining board members can chose a replacement, I would think a majority of the board members would need to agree on the replacement. If this person is the only individual interested in filling the position, it may be easier to have them back on. How long has it been since the resignation?

Suggest she be a candidate for the Board at the next election. If she resigned and the other Board members are not willing to appoint her to a vacant position on the Board then election by the members is the only way she can get back on the Board.

I would think as stated in previous responses, that she could wait for elections time and run for position. Then she could be voted on by the majority of the people of the community, and not the other board members. I think so anyway.
From the information I have gather in the other postings. It would be wise for the board to reconsider your friend’s resignation due to the simple fact that you currently have just four members? I have been advised by many on this discussion board to have an odd number of board members. Having her on the board or someone else would initial give you the fifth person? Being the deciding vote if there was ever a time when a breaking vote was needed.
