Does the BOD have to advise in advance about changing the laws? if we have 274 ho at a meeting, could they just spring this on us?

Amending by-laws should be regulated by the content within the by-laws.

WHO has voting rights to amend the bylaws?

If it is the Membership, do your bylaws talk about giving NOTICE to all members that there is going to be a vote?

Park,

The answers to your questions should be found in your bylaws. In many instances the board has the sole authority to amend the bylaws; however, some assns do require a vote of the members. This will be spelled out in the bylaws. Also, look under "meetings of the members -- both annual and special". Quorum requirements; whether or not an agenda is required; and notice of what action is to be taken should be outlined. If the board has sole authority to amend the bylaws, then "YES" they could just "spring" this on you.
