Organizational Structure (The Board of Directors)

I am trying to get information about various Association Board structures.

Please post the following information:

How many members serve on your HOA Board of Directors?

Is the voting in your HOA done AT-Large?

Does your HOA have districts and if so is the voting done by district?

The number of Directors on HOA Boards varies from 3 to 9 for HOAs we manage.

Voting is done several ways:
a) The Board votes at Board meetings for most matters; includes creating or amending Rules and Regulations and Resolutions.
b) Members vote at members' meetings for electing and removing Directors, Budget ratification, amending the By-laws and any other business brought which is brought forth by members.
c) Members voting by mail-in ballots for amending the Declaration.
d) Members voting by signing a petition.

Not quite sure what you mean by voting AT-Large. I think you may be referring to a very large HOA which has several districts with voting for Directors-at-large who will represent all districts. None we manage have separate districts so there is no voting by district. Some have sections with varying assessments in each section. In those the voting per unit is weighted according to the amount of assessment paid.

What I mean by the term "AT-LARGE" is does the membership vote on the board of directors in your particular HOA or is the voting done by districts. In Greentrees Village a HOA dating back to the early 70's the Association decided to develop its CC&R's that promitted 15 districts in a 576 lot development.

This has been a problemactic system and I am trying to mass enough information to offer the BOD a change to the BYLAWS Reducing the board to 7 members and have all 7 members run at large allowing the total membership to vote on all board candidates instead of of having borad members elected in most part by a few folks on their district of residence.

I am trying get the members to increase the pool of potential qualified candidates for board membership.

I am assuming with such a large community that districts were formed to get participation and representation from the whole community. We looked at doing that, we had a phase I and a Phase II in ours and to date I am the only person from Phase II to ever serve on the board. However, we decided against it. I like the concept, however, I think in an HOA setting it would be more beneficial to have the best volunteers available no matter where they live.
