We have a "mixed" HOA community with single-family homes, large apartment complex (all apartments are rental), town-homes, modular-type with alleys, and large apartment complex for 55+ (all apartments are leased). Our covenants specify that one vote per housing unit...but with the two complex buildings the votes are equivalent to the number of apartments..i.e 50 apartments = 50 votes. As per the covenants, the owner of apartment complex can vote or can designate a person to represent the apartment complex to go to the Homeowners Membership mtgs and cast 50 votes on issues during the mtgs. Currently, the number of votes per complex is also linked to their monthly assessment fees. We have homeowners upset because there are issues to be voted on that do not affect the apartment complexes, yet the complexes carry the most votes. Homeowners also are concerned with the improper use of proxies, where one homeowner could collect enough proxies to have the majority of the votes. Our bylaws and covenants do not address any limits to the number of proxies per voting member.

Catch 22: Since the apartment complexes have over 130 votes to begin with, why would they vote to change the covenants to decrease their voting power?
