If during our Annual Meeting the Board would like to pause the proceedings so the Board can meet for a few minutes to form then appoint a subcommittee for a topic under discussion at the AM, then return to the AM in progress, what would be the proper procedure? Or, could the Board simply do so without pausing the AM? Merci.

John, I would not pause have the Board meet in the middle of an annual meeting. Usually the President has the authority to appoint committee members and could do so during the meeting with the conscent of the members being appointed. Or the the matter can be delayed so the Board can reach a consensus at the next Board meeting.

John - the Annual Meeting of the Members is NOT a Board meeting. I personally feel that the Board members should sit in the audience with the rest of the members, and get up and give reports when called upon. The presiding officer (whomever that is, usually the president) and the secretary are up there just to preside and take the minutes of the meeting.

The Members could make a motion for the Board to establish this certain committee and appoint members (or accept volunteers) at their next meeting. They get their directive from the members on this.

Having said that - for the Board to "pause" the Annual Meeting to meet, is inappropriate, IMHO.
