Although I have been told that it is only up to our BOD to interpret our Decs/Bylaws, I am still interested to hear others' interpretation. Care to share your comments on the following? Thanks. -ReneeD

Renee, anyone can interpret but the Board usually decides unless it is contested and voted differently at a member's meeting or through litigation.

Your quote seems clear that except for the word "qualified". A Director can rerun for (the same) office and a Director shall hold their office until their successor is elected. Is the word qualified defined elsewhere? I would guess it means a member in good standing who was duly (properly) elected.

Incidently, this wording should be changed unless your Directors are elected to an office rather than elected to the Board of Directors.
