If a NY Property Owners Association never had any documents besides the bylaws and charter documents can their board of directors decide to create a Codes, Covenents & Restrictions and/or Rules & Regulations for it after 50 years of operation?

Does there need to be an Association wide vote to accept them or can the current Board just create them and enforce them?

Also, I know this is an old question but I need your opinion --- If a dues amount is ONLY noted in these bylaws is it necessary to change the bylaws to raise the dues?
