Your by-laws themselves should have the necessary requirements to change them. They are typically rather strict requirements. Changing the by-laws is something that should not be taken lightly.

David, your By-laws should state how they can be amended. Usually it takes the approval of 2/3 or a simple majority of those members present at a duly called meeting of the members.
