Of everything I read a Board member usually can not give a proxy to another Board member or person when they are not attending a Board meeting. We have three Board members. At our annual meeting the Secretary Treasurer will not be at the meeting but will call into the meeting. In this case since the ST will hear what is going on can the ST give her proxy to someone else?

If they are calling in, they should be able to exercise their voting rights.

This is an Annual Meeting, not a Board Meeting. The Members vote, not the Board. The quorum requirement is that of the members, not the Board.

Yeah - I didn't mention that, but yeah - if they are joining the meeting by phone (unless specifically not allowed), then they can exercise their voting rights.

With George & Richard, your annual meeting is NOT a board meeting.

What would this person vote on anyway? If they're voting as homeowner/member and not as a director, they'd fill out a proxy form like every other owner who can't attend.

I'm not following?

If it WERE a board meeting, the director can participate and vote by phone so long as everyone can hear her and vice versa---in Calif.
