Are workshops the same as working meetings? Can they also be considered board meetings without the presence of the property manager? Is it necessary for the BOD to keep meeting minutes of this type of meeting? And how exactly is it done/worded? If no mention is made in our ByLaws that the BOD "in-between" actual Board/Homeowner meetings, are they even legal? Would the Property Manager have to attend? If he does, obviously he would want to get paid---if this is not considered and/or included in our annual budget would this be considered misappropriation or inappropriate use of funds?

Above questions are being asked because new current contract that the BOD signed with Management Company states 6 meetings including annual election vs monthly meetings including annual election.

Renee, I don't know how you are defining a workshop or a working meeting. It is a board meeting when it is appropriately called, minutes are taken, actions may be taken, motions may be approved, etc. Bylaws should allow the board to hold Special Board Meetings or otherwise conduct business whenever it is deemed necessary. Of course they are legal. Most definitely the board can have board meetings without the property manager since the property manager only attends at the pleasure and request of the Board.

Expenditures beyond those budgeted for any line item can occur and not be considered misappropriation on inappropriate use of funds. The contract for the managing agent to attend 6 meetings indicates that any beyond 6 would require additional payment. This is a common practice and is not unusual.
