With regards to my post of 11-25-11 President and V.P not at meeting.
My apologies for the length of this post.
We (the Br.of Dir.,.) have contacted our attorney, he said the By-Laws
Do not prevent us from having a 2nd VP nor do they provide for same.
The current board prefers to follow only the parts of RR that they like.
The 2 common statements that they use are “that’s the way we always
Have done it” and “were a small organization and we don’t need too
Follow RR’s.
The reason for having a 2nd. VP is to allow for a smooth flow when
Both Pres., & VP not present, or the VP is out
At a meeting earlier this year both were gone Pres., & VP the Secretary
Took over the meeting gave a 15 min.,. address and proceeded with the meeting
w/o the appointment of a chairman pro tem.
The current Pres., Is not up on RR the VP is. 4 dir., are fighting this
mainly the Pres.,secretary and treasure (they r the always done it this way)

Shall govern the conduct of corporate proceedings when no in conflict with the Declaration
The By-Laws of the Association, or the laws of the State of Florida.
I am looking at the following to make my case for the 2nd. VP

How do I go about getting this done.
Is this an agenda item?
Can this be done at a regular board meeting?
Or SHOULD I mind my OWN business and wait for my term to END and enjoy my life????

If, at a duly called meeting, you have a quorum, you can begin the meeting with the highest officer there. You don't need a designated 2nd VP, just go down the line.

The big issue is to make sure you have a quorum to even hold the meeting, not who leads it.

Is it really that big of an issue who chairs the meeting when both the President and VP are absent?

Typically the agenda would have already been made prior to the meeting. The individual chairing the meeting just follows the agenda and goes from one item to the next.

I suspect that you could propose a resolution to either create a second VP position or identify a ranking of officers to run the meeting if it's a major issue.

Yes, it is important.
This is not a sports card club.
With a budget of over $ 250-K yrly it is the
Duty of the directors to be accountable.
Each member is a stock holder.
With my business everyone knows who
Will operate it in my absences.
( Please understand I am 1 of 7 my use of Business
Is to illustrate a point only)
When the current directors have little to no regards for RR.
And use RR only when it suites them and runs
The community for their own interest.
With the lack of interest by the community to
Take part in serving on the board.
Is it no wonder why Washington is run the way it is.
A good case can be made for term limits for all organizations

I understand. I was unable to find anything in Roberts Rules that gave an indication of who would run a meeting if the President and VP were absent (although I am not very versed in RR and could have easily missed it). Therefore, I would suggest submitting a proposal for a ranking of officers in order of who would take charge if the P & VP are absent. I would also suggest that the Secretary not be the one to fill in as it's very difficult to take accurate notes of a meeting while you are running it.

Yes, if the secretary, as Tim observes also takes notes for the meeting, the secretary shouldn't also have to preside in case the VP & Pres. both are absent. I like Tim's idea of you placing the ranking on the next agenda and let the board decide.

In our HOA, though, the Prop.Mgr. takes meeting notes so the secretary has presided in the absence of both the Prez & VP.

It may be the case that many perhaps most HOA board members are not well versed in Robert's Rules.

Can you briefly tell us, Hank, what parts of Robert's the board routinely ignores?

Thank you for taking the time to respond.
The vast majority of irregularities would be procedural from acceptance of minutes, review of agenda. To time allowed for discussion.
The most common would be the handling or lack of motions.
At the next meeting, I will make an attempt to implement an organizational flow chart.
Similar to what we have at our company.
Again,this will only work if I have support from within.
