Subject: Filling Multiple Board Vacancies in an HOA Election

Our association's by-laws state: "Section 5.2. Election. Election to the Board shall be by secret written ballot. At such election the Members or their proxies may cast, in respect to each vacancy, as many votes as they are entitled to exercise under the provisions of the Declaration. The persons receiving the largest number of votes shall be elected. Cumulative voting is not permitted." So, if we have two vacancies on the Board, do we: a. Have a separate election for each slot? b. Have one election in which the two highest vote-getters fill the slots? Also, what does "cumulative voting" mean here, and how does the prohibition against it relate to the questions above?

Roger, You would have one ballot with all the candidates names on it. The candidates with the 2 highest number of votes would be elected. Cumulative voting means each member can cast all their votes for one person. In other words, in the case of your assn with 2 vacancies to be voted on, each member can choose to cast both votes for one person or one vote for two separate people. Mary

Mary has it right except for the cumulative voting which is prohibited in your Association so the members could NOT use all their votes on one candidate.

I know cumulative voting is prohibited in Roger's assn. I thought he asked what it meant and I was only explaining the procedure. :-)

Thanks, Mary and Glen. A follow-up question: What if the vacancies to be filled are for different terms (e.g. one slot for a three year term and one slot for a one year term)? How do you decide which candidate fills which vacancy? Roger

I would suggest one of two ways. 1) The person receiving the highest number of votes would take the longer term, or 2) The board members would make that decision when they meet to elect officers
